These terms, together with the applicable Professional Terms or Company Terms below, govern your use of Kyndera. The Privacy Policy explains information handling. Separate written service agreements control where they expressly conflict with these terms.
1. Eligibility and accounts. You must be at least 18, able to enter this agreement, and provide accurate information. Protect your credentials, do not share accounts, and report suspected unauthorized access. Company users must have authority to act for their organizations.
2. Our role. Kyndera provides employer-paid recruiting, introductions and community tools. Kyndera does not employ, pay, clinically supervise or assign the professionals introduced through the platform. The hiring company hires and employs the professional and determines their subsequent assignments, including any home-based work. Kyndera does not arrange individual home-care assignments. Account/profile approval, a recommendation, a scan result, an introduction or a meeting is not a credential verification, background check, employment offer, endorsement, or guarantee of suitability, safety, accuracy, availability or hiring. Kyndera does not provide clinical care through this platform. Educational content is general information, not individualized clinical, legal or employment advice.
3. Your content. You retain your rights in content you submit. You grant Kyndera a nonexclusive permission to store, process and display it only as needed to operate the service, follow your authorized sharing actions and meet applicable obligations. This is not a blanket right to sell your resume or use your identity in advertising. You must have the rights and permissions needed for your submissions.
4. Permitted use. Do not impersonate others, submit false credentials or openings, discriminate unlawfully, harass, scrape private profiles, bypass permissions, upload malicious files, or use information for unrelated marketing. Do not submit patient/client records or confidential information about care recipients. Report suspected abuse to info@kyndera.life.
5. Third parties and availability. Companies, professionals and external content providers are responsible for their own representations and conduct. Verify material details independently. Services can be interrupted, changed or discontinued; we do not promise uninterrupted availability or error-free recommendations. We may restrict access to address misuse, security or legal issues, with notice where reasonably practicable and legally required.
6. Fees. Professionals pay no placement fee. Hiring companies must separately accept the Hiring Company Fee Schedule & Replacement Policy at signup and each new role publication. That policy sets out all placement fees, payment timing, placement attribution and replacement-search terms, and controls if it conflicts with these terms. These signup terms do not authorize automatic payment-card charges.
7. Disclaimers. To the extent permitted by law, the service and third-party content are provided as available without implied warranties of merchantability, fitness for a particular purpose or noninfringement. Express commitments in a separate agreement and rights that cannot legally be excluded remain unaffected.
8. Liability. To the extent permitted by law, neither party is liable to the other for indirect or consequential losses arising from these services. Kyndera's aggregate liability for claims arising from the service is limited to the greater of fees paid by that claimant to Kyndera for the service during the preceding 12 months or US $1000. These exclusions do not cover fraud, willful misconduct, gross negligence, or liability that applicable law prohibits limiting. They do not erase statutory privacy/security duties or prevent a regulator's action.
9. Changes and termination. You may stop using the service and request account closure. Closure does not recall already shared copies or erase records that may lawfully be retained. Material changes to terms will receive notice and fresh acceptance where required. Existing disputes are not retroactively subjected to new restrictions.
10. Disputes and arbitration. New Jersey substantive law governs these terms, subject to mandatory protections that cannot be waived; the Federal Arbitration Act governs the arbitration agreement to the extent applicable. Except for the exceptions below, Kyndera and you agree to resolve disputes arising from these terms, the platform, recruiting services or information handling through binding arbitration administered by the American Arbitration Association (AAA), before one neutral arbitrator. Company business disputes use the AAA Commercial Arbitration Rules. Individual disputes use the AAA Consumer Arbitration Rules where applicable, or the Employment/Workplace Rules if those rules are required for the dispute. Applicable AAA rules are available at adr.org. This agreement does not bind a nonparty hiring company and professional to arbitrate their separate employment disputes with one another. ARBITRATION MEANS THAT YOU AND KYNDERA GIVE UP A COURT TRIAL BEFORE A JUDGE OR JURY FOR CLAIMS SUBJECT TO THIS AGREEMENT. The arbitrator may award remedies available under applicable law, and an award may be enforced in a court with jurisdiction. Judicial review of an award is limited by law. Before filing, a party should send written notice describing the dispute and requested relief; notices to Kyndera may be sent to info@kyndera.life. The parties will try to resolve the matter for 30 days. This process does not prevent protective filings, urgent relief or compliance with legal deadlines. Hearings may be remote by agreement or as the applicable rules permit; otherwise, location is determined under those rules with mandatory consumer protections preserved. Fees are allocated under the applicable AAA rules and law; Kyndera will pay amounts the business is required to pay. No party must waive nonwaivable remedies to arbitrate. Either party may pursue an eligible individual claim in small claims court. Nothing prevents complaints to regulators, claims that applicable law makes non-arbitrable, or applications to a court with jurisdiction to compel arbitration, enforce or challenge an award as permitted by law, or obtain provisional relief in aid of arbitration. If AAA declines administration and the parties cannot agree on a lawful alternative administrator, either party may seek relief in a court with jurisdiction. No exclusive Ocean County court venue is imposed. If part of this clause is unenforceable, the remaining provisions apply only to the extent permitted by law. Material changes to this clause require notice and acceptance as legally required and do not retroactively restrict existing disputes.
Professional Terms
In addition to the common terms:
Provide truthful credentials, experience, eligibility and availability, and keep them current. Determine whether your certifications/licenses permit the work in each location, including remote work.
Review the role, compensation, setting, employer and work requirements before proceeding. You decide whether to apply, approve an introduction or accept work. Creating a profile does not guarantee opportunities or employment.
Applying directly or approving a specific introduction permits the disclosed sharing for that company. Review the consent shown at that time. Agreement to these signup terms alone does not authorize every future introduction.
Share only information you are entitled to share. Do not include patient information in resumes or introduction videos. Once authorized recipients obtain copies, Kyndera cannot retrieve them; report unauthorized use so we can investigate within our control.
Employment, compensation, supervision and clinical arrangements are between you and the hiring organization unless a separate signed agreement expressly states otherwise. Kyndera does not guarantee a company's statements, payment or conduct.
Hiring Company Terms
In addition to the common terms:
You confirm authority to represent the organization. Keep organization details, legitimate open roles, pay units/ranges, work locations, schedules and requirements accurate, and pause/archive roles promptly when unavailable.
You are responsible for applicable hiring, pay-transparency, employment, professional-licensing, supervision, background-check and nondiscrimination obligations. Independently verify credentials and suitability. Platform review is not a substitute for your diligence.
Use candidate information only to evaluate or administer the relevant authorized recruiting relationship. Limit access to personnel with a legitimate need; protect it with appropriate safeguards. Do not sell it, post it publicly, send it to unrelated employers or use it for unrelated marketing. A candidate's consent to Kyndera is not unlimited consent to your downstream uses.
Do not hire or engage a professional introduced through Kyndera, directly or through an affiliate, in a way intended to avoid the placement fee. Placement attribution and fees are governed by the Hiring Company Fee Schedule & Replacement Policy.
Honor applicable withdrawal, deletion and privacy obligations, subject to lawful record-retention duties. Do not attempt new access after permission is withdrawn. Notify Kyndera promptly of suspected unauthorized access or disclosure involving information received through the platform and cooperate in investigation and legally required response. Each party remains responsible for its own legal obligations.
Do not upload information identifying patients, children or families receiving services. Obtain necessary permissions for company logos, contact details and submitted content.
Indemnity. To the extent permitted by law, the company indemnifies Kyndera against third-party claims arising from the company's unlawful recruiting conduct, unauthorized use/disclosure of candidate information, or infringement through its submitted content, to the extent caused by the company. This does not cover Kyndera's own negligence or misconduct. Kyndera will give the company prompt notice of any claim and reasonable cooperation, and the company may not settle a claim in a way that imposes obligations on Kyndera without Kyndera's written consent.
